Santos Brasil concluded today its migration to the BM&FBovespa Novo Mercado, and announces that as of August 22, its shares will already be traded in the stock exchange´s segment of companies with more advanced corporate governance levels.
The common shares issued by Santos Brasil will be traded under the STBP3 ticker. The trading day of August 19 will be the last in which the preferred shares and Units will still be available to the financial market at BM&FBovespa´s Level 2 segment.
With the migration, Santos Brasil - a reference in container operations - becomes part of the select group of companies that voluntarily adopt additional corporate governance practices to those required by the Brazilian legislation. These practices include the implementation of a set of corporate rules that expand the rights of minority shareholders, and an even more transparent and comprehensive information disclosure policy.
In the Novo Mercado, all of the company´s preferred shares were converted into common shares at a 1 to 1 ratio. With this, all shareholders will have the same rights and may also vote on all matters discussed in company meetings, as well as be entitled to the possibility of receiving interest on capital, in addition to dividends. The migration gives more power to minority shareholders and raises the legal security of those shareholders to the Bovespa´s highest level.
In being listed in BM&FBovespa´s highest corporate governance segment, the company has its perception of risk reduced and has an even higher reliability in the market. This recognition leads to greater investor interest in its shares, and the resulting valuation and increased liquidity of its shares. It also positively impacts the company´s ability to obtain financing at better rates.
To Santos Brasil President Antonio Carlos Sepúlveda, the conclusion of this process strengthens the company´s commitment to the highest standards of transparency and governance, making it even stronger and more competitive.
The migration is taking place at a particularly important moment for Santos Brasil. The company is preparing to invest R$ 1.276 billion in Tecon Santos, the largest and most efficient container terminal in South America. The project will enable adapting the Terminal´s infrastructure to the size of the new vessels that will call at the port of Santos, efficiently meeting the expected demand as of 2019, and contributing for its customers to be more competitive in their markets.
